Document No.: DOC-CKP-007Revision: 1.0Effective Date: 1 January 2026

1. What Are Cookies

Cookies are small text files that a website stores on the device of a visitor when the visitor accesses the website. Similar technologies (such as local storage or pixel tags) are treated in the same way in this policy. This Cookie Policy explains what cookies GEZGİN OUTDOOR s.r.o. (the “Seller”, “we”) uses on this website (the “Website”), including the e-order service, and how you can manage them.

2. Categories of Cookies We Use

2.1 Strictly necessary cookies

These cookies are essential for the Website and the e-order system to function, for example to keep a Buyer logged in, to remember items in an order being prepared, and to ensure the security of the login process. These cookies do not require consent, as they are necessary to provide the service requested by the user (Art. 6(1)(b) GDPR / Section 89 of Act No. 127/2005 Coll., on Electronic Communications).

2.2 Functional cookies

These cookies remember choices made by the user (such as language or branch/establishment selection) to improve usability. They are used only with the user’s consent, unless they are strictly necessary for a function explicitly requested by the user.

2.3 Analytics cookies

These cookies help us understand how visitors use the Website (e.g., pages visited, time spent, error messages) so that we can improve its functionality. Analytics cookies are used only with the user’s consent.

2.4 Marketing cookies

These cookies may be used, where applicable, to measure the effectiveness of the Seller’s own communications or to display relevant content. Marketing cookies are used only with the user’s consent and are not currently deployed on the Website unless separately enabled and disclosed here.

3. Indicative List of Cookies

4.1 First-visit banner

When you first visit the Website, a cookie banner is displayed before any non-essential cookie is set. The banner allows you to: (a) accept all cookies; (b) reject all non-essential cookies; or (c) open detailed settings and select consent separately for each category described in Article 2 (functional, analytics, marketing). Strictly necessary cookies are always active, as they do not require consent.

Your consent choices are recorded using the cookie_consent cookie described in the table in Article 3, together with a timestamp, so that we can demonstrate compliance with applicable law and avoid asking for consent again on every visit.

You may change or withdraw your consent at any time, with effect for the future, by: (a) using the “Cookie Settings” link permanently available in the Website’s footer, which reopens the detailed consent panel; or (b) clearing cookies through your browser settings, which will cause the banner to be shown again on your next visit. Withdrawing consent does not affect the lawfulness of processing carried out before withdrawal.

4.4 Browser controls

You can also manage or delete cookies directly through your browser settings, and most browsers allow you to block cookies from specific sites or from all sites. Please note that blocking strictly necessary cookies may prevent parts of the Website, including the e-order system, from functioning correctly.

5. Third-Party Cookies

Where the Website uses third-party services (for example, an analytics or IT-solution provider referred to in Article XIX.2 of the Seller’s General Terms and Conditions), those providers may set their own cookies in accordance with their own privacy and cookie policies. We select such providers with due care and, where required, enter into data processing agreements with them.

6. Relationship to Personal Data Processing

Where cookies involve the processing of personal data (e.g., an IP address), such processing is carried out in accordance with the Seller’s Information on the Processing of Personal Data, published on the Seller’s website.

We may update this Cookie Policy from time to time to reflect changes in the cookies we use or in applicable law. The current version is always available on the Website.

I. Introductory Provisions

I.1 These General Terms and Conditions (hereinafter the “Terms and Conditions”) shall apply to any order or purchase of goods from GEZGİN OUTDOOR s.r.o. and its affiliated brands (hereinafter the “Seller”) by a registered buyer (hereinafter the “Buyer”). The current list of private labels sold by GEZGİN OUTDOOR s.r.o. is available HERE. The Terms and Conditions become an inseparable part of each purchase contract and part of framework contracts for the supply of goods or services, if such has been concluded between the Seller and the Buyer. The always-current version of the valid Terms and Conditions is published on the website of the relevant Gezgin Outdoor brand through which the Buyer transacts. Before placing an order, the Buyer is always obliged to familiarize himself with the current wording of all Terms and Conditions.

I.1a Depending on the circumstances of a specific purchase, a Buyer may qualify as a consumer under applicable Czech and EU law (for example, where an authorized natural person orders Goods otherwise than for the purpose of the Buyer’s trade, business, craft or profession). In such cases, the consumer protection provisions of these Terms and Conditions (including, without limitation, Articles X and XX.5) shall apply to that Buyer in addition to the other provisions hereof. In all other cases, the Buyer acts as a business entity and the provisions of these Terms and Conditions governing business-to-business relations shall apply.

I.2 The Buyer is entitled to conclude a purchase contract with the Seller as follows:

  • By telephone at +420 777 789 091
  • On the basis of Buyer registration in the ways set out below.
  • By sending an order via the web service for registered customers – e-order.

I.3 In concluding the purchase contract, the Buyer agrees to the use of means of distance communication. Costs incurred by the Buyer when using means of distance communication in connection with the conclusion of the purchase contract (costs of Internet connection, costs of telephone calls, etc.) shall be borne by the Buyer himself.

I.4 The subject of purchase under these Terms and Conditions is the supply of goods, in particular foodstuffs, beverages, drugstore goods, tobacco products, and non-food goods for gastronomy and households (other non-food goods) (hereinafter in these Terms and Conditions as the “Goods”).

II. Buyer Registration

II.1 Registration of each Buyer takes place within business communication through our sales representatives. Each Buyer has the option, in cooperation with his sales representative, to fill in a Buyer Card, in which he provides his basic data necessary for further cooperation, information about establishments, delivery points, specific requirements for the execution of delivery, etc.

II.2 An entity with an identification number may conclude exactly one Buyer registration. Without proper Buyer registration, it is not possible to conclude a purchase contract between the Seller and the Buyer, unless a special written agreement between the parties provides otherwise. Any exceptions shall be decided by the Seller in justified cases.

II.3 Without a duly completed Buyer Card and subsequent registration in the Seller’s accounting system, it is not possible to make purchases of Goods under these Terms and Conditions. When completing the Buyer Card, the Buyer is obliged to provide only true, actual, and complete information. The Buyer is obliged to inform the Seller of any changes to the data that could affect the proper performance of the purchase contract, without delay after such change occurs.

III. Web Service – e-order

Within the ordering, purchase, and sale of Goods to the Buyer, a Buyer registered for this service may use the Seller’s online ordering service (e-order), whether operated as a shared multi-brand portal or as a brand-specific ordering platform. For the conclusion of these contracts, these Terms and Conditions and the e-order Terms and Conditions available after logging in as a registered user on the Seller’s online ordering service shall always apply.

IV. Sales – Customer Card

IV.1 Within the ordering, purchase, and sale of Goods to the Buyer, the Buyer has the right to use the services of the stores by obtaining a Customer Card.

IV.2 Registration and purchases based on the Customer Card are governed by these Terms and Conditions and by separate Terms and Conditions available on the website of the relevant Gezgin Outdoor brand offering the Customer Card

V. Sales Based on Buyer Registration

Within the ordering, purchase, and sale of Goods to the Buyer, the Buyer has the right to conclude with the Seller a purchase contract under these Terms and Conditions. When ordering Goods within the e-order on the website, the provisions of this part of the Terms shall apply accordingly.

VI. Conclusion of the Purchase Contract

VI.1 The Seller presents Goods which the Buyer may order in various ways. The presentation of Goods in any form cannot be considered as an offer to conclude a purchase contract; the provision of § 1732 (2) of the Czech Civil Code is excluded. For the avoidance of any doubt, the purchase contract between the Seller and the Buyer is concluded only at the moment when the Seller confirms the Buyer’s order of Goods and confirms the date of delivery of the Goods. In the event that the Seller does not confirm the order, it shall be deemed that the purchase contract is concluded at the moment when the purchased Goods are delivered by the Seller to the place designated by the Buyer.

VI.2 Until the express written confirmation of the order or the delivery of the Goods to the Buyer and their acceptance, no act of the Seller may be interpreted as acceptance of the Buyer’s offer.

VII. Ordering of Goods and Confirmation

VII.1 An order of Goods by the Buyer may be placed in the following ways (ordering systems):

  • by telephone, through a sales representative or call centre,
  • through the e-order service,
  • during a personal visit by the sales representative,
  • electronically (e-mail, EDI, etc.).

VII.2 The Buyer is always obliged, before placing an order, to familiarize himself with the current wording of the Terms and Conditions. By sending or approving the order, the Buyer confirms that he has acquainted himself with these Terms and Conditions and that he agrees with them.

VII.3 The minimum order quantity through the ordering systems, with delivery to the designated place, is 1 pallet of Goods, except for gastronomic facilities, for which the minimum order quantity is also 1 pallet of Goods, unless otherwise agreed in writing between the parties. The Seller is entitled unilaterally to set (and to withdraw this advantage at any time) a lower minimum order quantity for a specific customer or group of customers. Information on the currently valid minimum order quantity will be provided upon request or electronically by e-mail. The sent order is an irrevocable offer to conclude a contract made by the Buyer. By placing the order, the Buyer is bound by his offer to conclude the purchase contract until it is concluded by the Seller or until the order is cancelled, which may only be done in accordance with these Terms and Conditions.

VII.4 The Seller does not guarantee the availability of the ordered Goods. Information on availability indicated for Goods on the Seller’s website is for information only and is indicative. The Seller is not obliged to accept the Buyer’s offer. The Seller may also express consent with a reservation, by which the Buyer’s offer is refused and a new offer to conclude a contract with new content is made. In such a case, the contract is concluded only by the expression of unconditional consent of one of the contracting parties to the offer of the other contracting party. However, part of the content of a contract concluded in this way shall always be these Terms and Conditions, with which the Buyer agreed when confirming the original order.

VII.5 The Seller reserves the right to reject the Buyer’s order in whole or in part and not to deliver the Goods, including in cases where the price of Goods presented in the e-order, leaflets or other sources communicated by the Seller is incorrectly stated, or if the price of the Goods has changed significantly with regard to current stocks, or if the ordered Goods are not available from the Seller. The Seller reserves the right to deliver to the Buyer an alternative item with regard to the currently available warehouse stock of Goods, especially in cases where manufacturers replace an existing product with another of similar weight or variant, where manufacturers of tobacco products replace the original variant with another tax-stamped price, or where the Seller has replaced the assortment with another brand. The Buyer has the right not to take over such Goods from the Seller, which right must be exercised only upon acceptance of the Goods.

VII.6 The Seller is entitled to set maximum withdrawal limits for individual Goods and not to deliver any excessively ordered quantity of Goods.

VII.7 The Buyer is entitled to cancel his order no later than 16:00 hours on the day preceding the day of collection or the planned delivery date specified or agreed in the order, and this through the originally chosen method of ordering.

VII.8 The Seller reserves the right to cancel the Buyer’s order or part thereof before concluding the purchase contract also in cases where: a) the Goods are no longer manufactured and therefore cannot be delivered; b) the promotional stock is already or will be sold out by the day of loading the Goods; c) the acquisition price of the Goods from the Seller’s external suppliers changes significantly. In the event that the Buyer has already paid part or all of the purchase price before delivery of the Goods, this amount shall be returned to his account and the purchase contract shall not be concluded.

VII.9 The Buyer is entitled to order Goods with a requirement for delivery on the next distribution day no later than 14:00 hours on the day preceding the distribution day. The Seller is entitled to refuse the Buyer’s order for the following day even before this time limit.

VIII. Price and Payment Terms

VIII.1 The Buyer is obliged to ascertain the purchase price of the Goods from the Seller before sending the order. The prices of the Goods are available to the Buyer in the following ways: 1. by telephone through information provided by operators; 2. through the price lists stated in the e-order system; 3. from the prices stated in the Seller’s current leaflets; 4. by making an inquiry to the sales representative or by e-mail.

VIII.2 The Seller declares that the prices stated in the price lists in the e-order system and in the leaflets may contain printing errors. The actual purchase price for the Goods will always be indicated for each item in the delivery note. If the price of the ordered Goods stated in the e-order or in the leaflet does not correspond, the price stated in the delivery note of the Goods shall apply. If the difference between the purchase prices is higher than 10%, the Buyer has the right not to take over the Goods.

VIII.3 The price of the Goods includes the price of transport, provided that the Buyer complies with the purchase volume limit set out in these Terms and Conditions and unless otherwise contractually agreed with the Buyer.

VIII.4 The Buyer undertakes to pay the purchase price in advance by bank transfer on the basis of a proforma invoice issued, unless otherwise contractually agreed between the parties.

VIII.5 The prices of the Goods presented are usually stated both including and excluding VAT. The Seller reserves the right to change the price of the Goods stated in the system according to the current warehouse prices.

IX. Delivery, Acceptance of Goods and Returnable Deposited Packaging

IX.1 The Seller shall usually deliver the Goods on the day chosen by the Buyer, unless otherwise stated for the Goods. In the event that the delivery period is to be significantly extended, the Seller reserves the right to contact the Buyer regarding further procedure.

IX.2 The Seller undertakes to strive for delivery on the requested date, but bears no liability for non-delivery at the requested time if this was caused by circumstances which, considering all the circumstances, could not be influenced by the Seller.

IX.3 The place of delivery is usually the place in the Czech Republic specified by the Buyer upon Buyer registration. For another place of delivery – a new establishment – a new registration of the establishment must be completed, either by contacting the Seller or through the sales representative. If the Goods are transported to the Buyer by the Seller, the risk of damage to the Goods passes to the Buyer upon handover of the Goods to the Buyer.

IX.4 Ownership of the Goods is transferred to the Buyer only upon full payment of the purchase price. The provision of the previous sentence does not establish the right of the Buyer to return any Goods taken over to the Seller, unless otherwise agreed in writing between the parties. In the event of returning the Goods to the Seller, the Buyer is obliged to ensure that the Goods are returned in the original packaging and that the minimum durability period is not shorter than 2/3 of the original minimum durability period. This does not apply to perishable Goods; such Goods may not be returned by the Buyer to the Seller after proper acceptance. The risk passes to the Buyer already upon acceptance of the Goods.

IX.5 If the Buyer does not duly take over the Goods at the place of delivery, such delivery shall be deemed ineffective. Ineffective delivery shall not affect the Seller’s right to claim and enforce compensation for damages incurred in connection with such ineffective delivery, at least to the extent of the costs incurred in transporting the Goods to the place of delivery and back to the Seller’s warehouse. In the event of the Buyer’s request for redelivery, the Seller is entitled to charge the Buyer the delivery costs, which shall be set at a flat rate of CZK 50 per 1 km of route.

IX.6 Any person present at the Buyer’s premises who objectively appears to be authorized to act on behalf of the Buyer shall be deemed capable of accepting the Goods on behalf of the Buyer. The Buyer is obliged to ensure the presence of a person authorized to accept the Goods at the time of delivery. If, at the required time of delivery, no person capable of accepting the Goods is present at the place of delivery, or if the Goods cannot be properly handed over for any other reason, the driver shall contact the Buyer by telephone and agree on further procedure. If it is not possible to reach the Buyer by telephone and agree on further procedure, the Buyer shall be informed on the next working day about the failed attempt at delivery and about the cancellation of the order. The Seller shall deposit the Goods delivered behind the first lockable door of the Buyer’s warehouse or premises. The Buyer is obliged to ensure accessibility and passage for the Seller to such warehouse or door of the premises.

IX.7 Together with the delivery of the Goods, the Seller undertakes to provide the Buyer with the necessary tax documents or a delivery note indicating the assortment of the Goods delivered, including quantity and price, so that the delivery can be properly inspected and accepted. The Buyer is obliged to confirm acceptance of the Goods on the documents presented by the Seller.

IX.8 The Buyer undertakes to return to the Seller returnable deposited packaging, and the Seller undertakes to repurchase such packaging. The Buyer may return returnable packaging upon delivery of the next supply to the establishment or during the opening hours of the Seller’s wholesale centre from which the Goods were delivered.

IX.9 The Seller is entitled to change the type of packaging purchased back or to terminate the purchase back of a specific packaging. The Seller is obliged to notify customers of this change one month before implementation. The Seller may discontinue the use of packaging that was previously returnable. In such a case, the Seller shall continue to repurchase such unused packaging for at least 3 months from the last introduction of the packaging into circulation. The Seller is also obliged to inform consumers about the change in the amount of money for purchased returnable packaging for at least 10 calendar days before the date of implementation of the change. Customers shall be informed of the change on the relevant Gezgin Outdoor brand website.

X. Withdrawal from the Contract

X.1 If the Buyer is also a consumer under this contract, he has the right, in certain cases provided for by law, to withdraw from a contract concluded outside the Seller’s usual business premises, within 14 days. In the event of exercising such a right, the Buyer shall bear the costs associated with returning the Goods. A model withdrawal form is available as a separate document referenced in Article I.1.

X.2 With the exception of cases where the Goods are defective or non-conforming to the contract, purchased Goods cannot be returned. In particular, Goods for which the cold chain may have been interrupted, or hygienic packaging has been opened, may not be returned. Furthermore, Goods that are perishable, or for which more than one third of the minimum durability period has already expired, cannot be returned.

X.3 Any exchange or return of Goods must be approved in advance by the Seller. The Buyer shall return the claimed Goods at his own expense to the Seller’s wholesale centre from which the Goods were delivered, after prior written notice to the contact e-mail. Upon acceptance of the Goods, the Seller shall issue a confirmation of acceptance and, in the case of an acknowledged complaint, shall issue a credit note.

X.4 Goods without defects cannot be returned, and no reverse acceptance is possible.

X.5 This Article shall be without prejudice to any rights and obligations arising from applicable legal regulations that are not otherwise regulated in these Terms and Conditions.

XI. Liability for Defects in Goods and Complaints

XI.1 The Buyer is obliged, after delivery of the Goods, to properly inspect and check their properties, both with regard to their quality and quantity. By confirming the tax document or delivery note, the Buyer confirms that he has checked and accepted the Goods as to their quantity and quality.

XI.2 The Buyer is obliged, upon acceptance of the Goods, to check whether they have any apparent defects. If defects are discovered, the Buyer is obliged to assert all claims arising from the defects immediately upon acceptance and not to take over the Goods from the driver. The driver shall deduct the defective Goods on the tax document or delivery note. In the case of cash payment, the total cash collection shall be adjusted in relation to the quantity and price of the defective Goods. Apparent defects shall be deemed to include: 1. delivery of Goods where the cold chain was evidently broken during transport; 2. quantitative differences compared to the tax document or delivery note; 3. delivery of Goods other than those ordered, unless it is an acceptable alternative under these Conditions; 4. mechanical damage to the Goods or their packaging during transport; 5. Goods delivered beyond their shelf life.

XI.3 Other defects may be claimed by the Buyer without undue delay after their discovery, within the warranty period of the Goods. The warranty period of the Goods shall be understood as the minimum durability period of the Goods indicated by the manufacturer on the Goods or their packaging. If a date is indicated on the delivered Goods by which the Goods must be used, or the minimum durability date, the warranty period shall end upon the expiry of this date.

XI.4 Notification of defects other than apparent ones shall be made by the Buyer by sending a complaint form to the contact e-mail of the Seller’s branch from which the Goods were delivered to the Buyer, no later than within 7 days from the discovery of the defect. When making a complaint, the Buyer is obliged to state the Company ID (IČO) and the establishment to which the Goods were delivered, the date of delivery, order number, sales document number, type and quantity of the claimed Goods, reason for the complaint, and the account number to which the Buyer requests payment of an acknowledged complaint. A standard complaint form is published as a separate document on the Seller’s website.

XI.5 Defects in foodstuffs subject to rapid spoilage must be claimed no later than the following day after delivery, otherwise the Buyer shall not be entitled to assert defects in the Goods against the Seller.

XI.6 The Buyer is obliged to properly store the claimed Goods, in particular to comply with the storage conditions indicated on the product, and the Buyer is obliged to objectively prove this fact.

XI.7 A complaint protocol shall be drawn up on the conducted complaint procedure, indicating the manner of handling the complaint.

XI.8 The Buyer is obliged to hand over the Goods for complaint in a clean, complete and suitable packaging so that no further damage to the Goods occurs. The Buyer is responsible for damage to the Goods during transport to the Seller caused by unsuitable packaging.

XI.9 The Seller shall not be liable for defects in the Goods: 1. if the defect was caused by the Buyer himself by using the Goods contrary to the instructions for their use or storage or to generally known rules for their use or storage, or in another way; 2. if the Buyer knew or could have known of the defect at the time of acceptance of the Goods; 3. if the Buyer’s complaint is contrary to the nature of the Goods, especially in the case of perishable Goods; 4. for which a discount on the price of the Goods was granted; 5. that arose during the warranty period as a result of wear and tear from normal use or from improper or excessive use, or after the expiry of the product’s service life; 6. caused by interference with the Goods or their parts by an unauthorized person.

XI.10 The Seller shall handle the complaint within 30 days from the date on which the Buyer asserted the complaint.

XI.11 If the defect in the Goods represents a non-substantial breach of contract, the Seller shall, when handling the Buyer’s complaint, have the right to choose between remedying the defect and providing a reasonable discount on the purchase price.

XI.12 If the defect in the Goods represents a substantial breach of contract, the Seller shall be entitled to handle the Buyer’s complaint, at his choice, in one of the following ways: 1. remedying the defect by delivering new Goods without defects or delivering missing Goods; 2. remedying the defect by repairing the Goods; 3. providing a reasonable discount on the price of the Goods; or 4. withdrawal from the contract and refunding the purchase price of the Goods to the Buyer upon return of the Goods by the Buyer.

XII. Availability of Ordering Systems

XII.1 The Seller shall not be liable for technical problems associated with the availability and functionality of any of the company’s ordering systems and for any damage incurred in this connection.

XII.2 The Seller shall not be liable for errors, omissions, or technical difficulties arising as a result of interventions by third parties into the e-order website or as a result of use of the e-order website contrary to its purpose.

XIII. Specific Adjustment of Certain Instruments (Credit and Security Instruments)

XIII.1 When concluding a contractual relationship between the Seller and the Buyer, the contracting parties are entitled to agree on the incorporation of specific instruments into the contract, namely: 1. credit – setting a maximum possible balance with the Seller. The Seller shall not be obliged to conclude further purchase contracts or deliver ordered Goods to the Buyer if the total outstanding amount (including not yet due amounts) reaches or exceeds the agreed credit limit; 2. guarantee obligation and other securing instruments.

XIII.2 These instruments shall always be dealt with between the contracting parties within the framework of separate written agreements.

XIV. Specific Adjustment of Certain Instruments (Customer Cards, Vouchers and Coupons)

XIV.1 If the Seller issues to the Buyer any customer or discount cards, vouchers, coupons, or other instruments enabling discounts or other benefits, these are always the property of the Seller, unless expressly stated otherwise.

XIV.2 The Seller is entitled to unilaterally change, limit, or cancel the validity of such instruments at any time, even without prior notice to the Buyer.

XIV.3 The Buyer is obliged to use such instruments exclusively in accordance with the conditions set by the Seller.

XV. Intellectual Property

XV.1 All trademarks, trade names, logos, private labels, product descriptions, photographs, graphics, texts and other content published by the Seller on its website, in its leaflets, catalogues, or in the e-order system (hereinafter “Seller’s Content”) are protected by intellectual property rights and are owned by, or duly licensed to, the Seller or its affiliated brands.

XV.2 Nothing in these Terms and Conditions or in any purchase contract concluded hereunder grants the Buyer any right, licence, or interest in the Seller’s Content, other than the limited right to view and use such content for the ordinary purpose of ordering Goods from the Seller.

XV.3 The Buyer shall not reproduce, copy, distribute, modify, or otherwise use the Seller’s Content for commercial purposes without the Seller’s prior written consent, except to the extent such use is inherent to the ordinary resale of the Goods purchased (e.g., use of product photographs supplied by the Seller for the resale listing of purchased Goods).

XV.4 Any packaging, labelling, or branding elements affixed to the Goods remain subject to the intellectual property rights of the Seller, its affiliated brands, or the relevant manufacturer, as applicable.

XVI. Force Majeure

XVI.1 Neither party shall be liable for any failure or delay in performing its obligations under these Terms and Conditions or a purchase contract concluded hereunder to the extent that such failure or delay is caused by an event or circumstance beyond that party’s reasonable control (“Force Majeure Event”), including without limitation: war, armed conflict, terrorism, riot or civil commotion; epidemic or pandemic and related governmental measures; strikes, lockouts or other industrial action; natural disasters, fire, flood or extreme weather; governmental orders, sanctions, embargoes, or other regulatory restrictions; and disruption to transport, energy, or telecommunications infrastructure.

XVI.2 A party affected by a Force Majeure Event shall notify the other party without undue delay, describing the nature and expected duration of the event, and shall use reasonable efforts to mitigate its effects.

XVI.3 The performance of the affected obligations shall be suspended for the duration of the Force Majeure Event. If a Force Majeure Event continues for more than 30 consecutive days, either party may cancel the affected order or, in the case of a framework agreement, terminate it with respect to future deliveries, by written notice, without liability for such cancellation or termination beyond reimbursement of amounts already paid for Goods not delivered.

XVII. Sanctions, Export Control and Trade Compliance

XVII.1 Each party represents that it is not, and is not owned or controlled by, a person or entity that is the subject of applicable trade or economic sanctions administered by the European Union, the United Nations, the Czech Republic, or other competent authority, and that it will not use the Goods, directly or indirectly, in violation of any applicable sanctions, export control, or embargo laws.

XVII.2 The Seller may, without liability, suspend or refuse to perform an order or purchase contract, in whole or in part, where the Seller reasonably believes that performance would violate applicable sanctions, export control, or trade compliance laws.

XVII.3 The Buyer is responsible for compliance with all import, customs, and trade regulations applicable in the jurisdiction to which it takes delivery of the Goods, including obtaining any necessary import licences or permits, unless otherwise expressly agreed in writing.

XVIII. Anti-Corruption

XVIII.1 Each party shall comply with applicable anti-bribery and anti-corruption laws, and shall not offer, promise, give, request, or accept any bribe, kickback, or other improper advantage in connection with the conclusion or performance of a purchase contract under these Terms and Conditions.

XVIII.2 A material breach of this Article by the Buyer entitles the Seller to suspend performance of, or terminate, the affected purchase contract with immediate effect, without prejudice to any other rights or remedies available to the Seller.

XIX.1 The Seller processes the Buyer’s personal data in accordance with the valid and effective legislation of the Czech Republic, in particular Regulation (EU) No. 2016/679 of the European Parliament and of the Council on the protection of natural persons with regard to the processing of personal data and on the free movement of such data, repealing Directive 95/46/EC (General Data Protection Regulation, hereinafter also referred to as “GDPR”), and handles the obtained personal data as confidential.

XIX.2 The Buyer is informed that tax documents and delivery notes issued by the Seller for the supply of goods to the Buyer, and the personal data contained therein, may be transferred for processing to a third party for the purpose of further use within the IT solution provided by such third party to the Seller and/or the Buyer.

XIX.3 The Buyer declares that if he provides the Seller with personal data of other persons (e.g. their contact details) for the purpose of their inclusion on tax documents or delivery notes (including for the purpose of their transfer by the Seller to third parties in accordance with these Terms and Conditions), the Buyer has secured all necessary consents of such persons in accordance with the Personal Data Protection Act, if such consents are required by that Act.

XIX.4 The Buyer is informed that in the event of using the customer telephone hotline services, his calls may be recorded for the purpose of evaluating and improving the quality of services provided.

XIX.5 Further and more detailed information on the processing of personal data is dealt with in a separate Privacy Policy and in the Information on the Processing of Personal Data, both published on the company’s website. Information on the use of cookies on the Seller’s website is set out in the separate Cookie Policy published on the Seller’s website.

XX. Final Provisions

XX.1 These Terms and Conditions and all concluded purchase contracts shall be governed by the legal order of the Czech Republic.

XX.2 The Seller is entitled to amend these Terms and Conditions at any time. The new Terms and Conditions shall be effective as of the date of their publication on the company’s website. By placing an order, the Buyer always expresses consent to the current version of the Terms and Conditions.

XX.3 In the case of a complaint or a possible adjustment of the delivery date or method of delivery, communication by e-mail shall be sufficient instead of written communication, provided that the authorized person of the other party confirms receipt of the message from his/her usual e-mail address.

XX.4 The Seller reserves the right to remove a Buyer from the e-order system if the Buyer has not ordered any goods for the last four consecutive months. Renewed access to the e-order system may be obtained according to the instructions in the Registration section.

XX.5 If the Buyer is a consumer, he has the right, in the event of a dispute arising from a purchase contract, to out-of-court resolution of such consumer dispute. The Czech Trade Inspection Authority (www.coi.cz) is the subject of out-of-court resolution of consumer disputes in these cases. He may also use the online dispute resolution platform established by the European Commission at ec.europa.eu/consumers/odr. The European Consumer Centre Czech Republic, with its registered office at Štěpánská 567/15, 120 00 Prague 2, website: www.evropskyspotrebitel.cz, is the contact point under Regulation (EU) No 524/2013 of the European Parliament and of the Council of 21 May 2013 on online dispute resolution for consumer disputes and amending Regulation (EC) No 2006/2004 and Directive 2009/22/EC (Regulation on online dispute resolution for consumer disputes).

XX.6 The Seller is entitled to cancel the Buyer’s registration in the event that: the Buyer terminates or suspends his business activity for any reason – at the same time, the Buyer is obliged to inform the Seller of this fact without undue delay; the Buyer is in arrears with his payment for more than 30 days after the due date; insolvency proceedings are commenced against the Buyer, or an insolvency petition is filed, even if filed by the Buyer himself; enforcement proceedings are initiated against the Buyer; the Buyer is insolvent or is threatened with insolvency; the Buyer has not concluded any purchase contract with the Seller for more than 4 months; the Buyer otherwise breaches his obligations set out in these Terms and Conditions or in the contract.

XX.7 In the event that the relationship established by the purchase contract contains an international element, such relationship shall be governed by Czech law. This shall be without prejudice to consumer rights arising from generally binding legal regulations.

XX.8 Governing Law and Jurisdiction. As GEZGİN OUTDOOR s.r.o. is a company established under the laws of the Czech Republic with its registered seat in Prague, these Terms and Conditions and any purchase contract concluded on their basis are governed exclusively by the laws of the Czech Republic. Any dispute arising out of or in connection with these Terms and Conditions or a purchase contract concluded hereunder, including disputes concerning their validity or termination, shall be submitted to the exclusive jurisdiction of the competent courts of the Czech Republic having local jurisdiction over the Seller’s registered seat in Prague, with the exception of matters falling within the competence of the preliminary injunction court (“Městský soud”). This provision is without prejudice to any mandatory rights a Buyer qualifying as a consumer may have under applicable consumer protection law, including the right to out-of-court dispute resolution referred to in Article XX.5.

XX.9 Severability. If any provision of these Terms and Conditions is or becomes invalid, ineffective, or unenforceable, this shall not affect the validity of the remaining provisions. The parties undertake to replace any such provision with a valid provision that most closely reflects the economic purpose of the original provision.

XX.10 Entire Agreement. These Terms and Conditions, together with the Buyer Card, any framework agreement, and the written confirmation of an order, constitute the entire agreement between the Seller and the Buyer with respect to their subject matter and supersede all prior negotiations, representations, or agreements relating thereto, except as expressly referred to herein.

Language. In the event of any discrepancy or difference in interpretation between this English version and the Czech-language version of these Terms and Conditions, the Czech-language version shall be exclusively decisive and binding, without prejudice to any mandatory consumer-protection rights under applicable law.

XX.12 In the event of a conflict between provisions governing the rights and obligations arising from purchase contracts concluded between the Seller and the Buyer at the time of Buyer registration and the purchase of goods, the following order of precedence of documents and rights and obligations arising therefrom shall apply, whereby the document takes precedence: 1. written confirmation of the order by the Seller, which contains a specific arrangement of rights and obligations different from this contract; 2. framework agreement on the supply of goods; 3. Buyer card; 4. these Terms and Conditions.

XXI. Confidentiality

XXI.1 Each party undertakes to keep confidential all information of a commercial, technical, financial, or organisational nature disclosed to it by the other party in connection with the conclusion or performance of a purchase contract under these Terms and Conditions, irrespective of whether such information has been expressly marked as confidential, unless such information is or becomes publicly available through no fault of the receiving party.

XXI.2 The Buyer shall not use any confidential information obtained from the Seller, including information relating to the composition, pricing, or sourcing of the Goods, for its own benefit or for the benefit of any third party, and shall ensure that its employees, representatives, and any third parties involved in the performance of the purchase contract observe the same obligation of confidentiality.

XXI.3 Without the Seller’s prior written consent, the Buyer shall not make direct or indirect use of its business relationship with the Seller or any of its affiliated brands for promotional, advertising, or other purposes.

XXI.4 A breach of this Article by the Buyer shall entitle the Seller to claim compensation for any damage suffered as a result, without prejudice to the Seller’s right to require performance of the purchase contract and to pursue any other remedy available under applicable law.

XXI.5 The obligations set out in this Article shall survive the termination or expiry of the purchase contract or of the business relationship between the Buyer and the Seller.

XXII. Retention of Title

XXII.1 This Article supplements Article IX.4 and sets out further consequences of the retention of title. Ownership of the Goods delivered shall pass to the Buyer only upon full payment of the purchase price and of any other amounts owed by the Buyer to the Seller in connection with the relevant delivery or with the business relationship between the Buyer and the Seller generally. Until such full payment has been made, the Goods remain the property of the Seller.

XXII.2 For as long as the Goods remain the property of the Seller under this Article, the Buyer shall not pledge, encumber, or transfer ownership of the Goods to any third party, and shall not process, combine, or mix the Goods with other goods in a manner that would prejudice the Seller’s ownership, without the Seller’s prior written consent.

XXII.3 If the Buyer resells Goods that remain the property of the Seller before full payment has been made, the Buyer hereby assigns to the Seller, to the extent permitted by applicable law, its claims against the relevant sub-purchaser arising from such resale, up to the amount still owed by the Buyer to the Seller. The Buyer shall, upon the Seller’s request, provide all information and documentation necessary to enable the Seller to exercise this assignment.

XXII.4 The Buyer undertakes to store the Goods that remain the property of the Seller with due care, to keep them adequately insured against usual risks (including fire, theft, and water damage), and, upon the Seller’s first request, to provide evidence of such insurance and to assign to the Seller any claims the Buyer may have against its insurer in relation to those Goods.

XXII.5 In the event of the Buyer’s default in payment, or where the Seller has a reasonable and justified concern that the Buyer will not fulfil its payment obligations, the Seller shall be entitled, without prior notice of default or judicial intervention, to reclaim possession of the Goods that remain its property, wherever located, and the Buyer hereby grants the Seller and its representatives access to the premises where such Goods are kept for this purpose. Reclaiming the Goods under this Article shall be without prejudice to the Seller’s other rights and remedies, including the right to claim payment of the outstanding purchase price.

XXII.6 Goods reclaimed by the Seller under this Article may, at the Seller’s discretion, be held until full payment is received or resold to a third party, in which case the net proceeds of such resale shall be applied against the amounts owed by the Buyer to the Seller, with any surplus returned to the Buyer.

XXII.7 This Article, and any dispute concerning retention of title arising under it, shall be governed by the laws of the Czech Republic, consistent with Article XX.8.

These Terms and Conditions shall take effect on 1 January 2026.

1.5. Modifications to the agreement concluded between Gezgin Outdoor and the contractor and derogations from these Purchasing Conditions will only be effective if established as such in writing between Gezgin Outdoor and the Contractor. Such modifications in that case only apply per case.

3.1. All verbal or written quotations made by or on behalf of Contractor are irrevocable, unless it is expressly and unambiguously indicated that the quotation is non-committal.

3.2. An Agreement is adopted through the acceptance by Gezgin Outdoor of the offer of Contractor. This acceptance can exclusively be evinced by a clear, written confirmation from a collaborator of Gezgin Outdoor who is authorized to such effect.

3.3. Verbal orders or assignments do not bind Gezgin Outdoor if they were not confirmed by a collaborator of Gezgin Outdoor authorized to such effect in writing.

3.4. Contractor is obligated to confirm a purchase order placed by Gezgin Outdoor within two business days after the receipt thereof. 3.5. Contractor is obligated to state on the order confirmation at least the purchase order number of Gezgin Outdoor, the item number, the price, and the delivery date transmitted by Gezgin Outdoor. Any possible changes to item numbers must be reported by Contractor immediately upon the order confirmation.

3.6. A deviation from the order confirmation sent by Contractor with respect to the offer does not bind Gezgin Outdoor, unless Gezgin Outdoor has expressly accepted the deviation in writing.

3.7. If Contractor carries out activities that were not previously established in writing with Gezgin Outdoor as described in this article, those are not compensated by Gezgin Outdoor.

3.8. The costs involved in the preparation of a quotation or an offer (whatever they are called) are borne by Contractor, unless parties explicitly establish otherwise in writing.

3.9. A modification of the Agreement is only possible if Gezgin Outdoor unambiguously agrees in writing with a modification.

3.10. Contractor must first have the written permission of Gezgin Outdoor before he may proceed with the implementation of the modified Agreement.

3.11. If Contractor holds that the Agreement must be expanded or abridged, Contractor must first notify Gezgin Outdoor accordingly in writing without delay. Subsequently, Contractor will forward an additional quotation to Gezgin Outdoor within two business days.

3.12. Contractor must first have the written permission of Gezgin Outdoor before he may proceed with the implementation of an expanded or abridged Agreement.

IV. Obligations and responsibilities of Contractor | implementation Agreement | Quality

4.1. Prior to conclusion of the Agreement, Contractor is obligated to investigate whether he has all information he deems necessary to be able to carry out the Delivery for Gezgin Outdoor. If Contractor holds after conclusion of the Agreement that information is missing that is relevant for the implementation of the Agreement, the consequences thereof are at the expense of Contractor and he is unable to appeal to any rights vis-a-vis Gezgin Outdoor.

4.2. The dates mentioned in the Agreement (including the delivery time) are strict time limits, unless explicitly established otherwise. Through the overrunning of a time limit, Contractor falls into default legally without a default notice being required for it.

4.3. Deliveries by or via Contractor must occur as Full Container Load (FCL), according to Incoterms 2010, with loading at the Contractor’s premises or agreed location, and delivery at the place of destination indicated in the Agreement on the date and at the time mentioned, unless explicitly established otherwise. The transport takes place at the expense and risk of Contractor until the container is loaded at the Contractor’s premises. From that point onward, the risk and costs transfer to the Buyer, unless otherwise agreed.

4.4. Contractor or a transporter to be deployed by Contractor must be “self-unloading” (able on location to properly unload himself), unless parties expressly establish otherwise in writing.

4.5. The risk of a Delivery only passes to Gezgin Outdoor after it has been unloaded at Gezgin Outdoor or at a location designated by Gezgin Outdoor, Gezgin Outdoor has signed for receipt, and has accepted the Delivery.

4.6. If Gezgin Outdoor notifies Contractor in time that it cannot receive a Delivery at the agreed place/time, Contractor will safely store the Delivery and take reasonable measures until Gezgin Outdoor can receive it.

4.7. Unless parties expressly establish otherwise in the Agreement, a postponement as intended in article 4.6. only confers a right to the compensation of the costs incurred reasonably to Contractor if such postponement lasts longer than two (2) weeks. Otherwise, the costs are borne by Contractor.

4.8. If Contractor on grounds of the Agreement must deliver under one or more required certificate(s), Contractor is obligated to enclose a copy thereof in the Delivery.

4.9. If Contractor must still make a back delivery to Gezgin Outdoor, the costs of such back delivery are borne entirely by Contractor, unless parties expressly establish otherwise in writing.

4.10. It is not permitted to Contractor to deploy third parties for the implementation of activities in the context of the Agreement, unless Gezgin Outdoor has granted prior written consent for this to Contractor, which consent Gezgin Outdoor may subject to additional conditions. In case of the deployment of third parties, Contractor remains fully responsible for the proper compliance with his undertakings on account of the Agreement concluded with Gezgin Outdoor and for the activities conducted or matters delivered by these third parties.

4.11. If what was delivered by Contractor in the opinion of Gezgin Outdoor does not correspond with the Agreement, Gezgin Outdoor will communicate such forthwith to Contractor. Contractor is obliged to immediately replace the matters already delivered or to restore them. If Contractor has not replaced or restored the matters within two business days after the reporting of a complaint of Gezgin Outdoor, Gezgin Outdoor has the right to have these matters delivered or restored by third parties at the expense of Contractor. Gezgin Outdoor may set off the costs involved therein against what may still be owed to Contractor on account of the Agreement.

4.12. Contractor is obliged to have a liability insurance that is in line with the Delivery, the Agreement, and the present Purchasing Conditions, and with a coverage of at least € 1,000,000 per event or per several events with one and the same cause. Contractor is obliged upon first request of Gezgin Outdoor to provide a current and valid policy of this insurance. Contractor is furthermore obligated to timely and completely comply with all obligations on account of this liability insurance (also including the obligation to pay fees). The Contractor’s own liability insurance is a matter for the Contractor alone; any lapse, insufficiency, or non-payment of premiums under the Contractor’s policy shall not limit, reduce, or otherwise affect the Contractor’s liability towards Gezgin Outdoor under Article XIII, and shall not be a defence available to Contractor.

4.13. The quality standard, quantity, and weight of the matters purchased by Gezgin Outdoor as determined at the time that the matters are delivered at the company of Gezgin Outdoor are determinative.

4.14. The weight of the matters purchased by Gezgin Outdoor is established by weighing at the company or warehouse of Gezgin Outdoor. Gezgin Outdoor guarantees that use is made of calibrated weighing equipment.

4.15. All statements by Gezgin Outdoor of numbers, sizes, weights and/or other indications with regard to the matters are made with as much diligence as possible. Contractor guarantees that no deviations (of more than 3%) will occur in the matter.

4.16. The quality of the matters purchased by Gezgin Outdoor can upon request of Gezgin Outdoor be further determined. This determination of quality will take place in the manner that is customary in the sector by Gezgin Outdoor or a controller to be designated by them based on samples taken from the batch delivered.

4.17. The Contractor must verify beforehand that the matters ordered from him and the associated documentation, packaging, labelling and/or other information are compliant with all provisions established for such by the authorities in the country of destination.

V. Packaging Delivery

5.1. Contractor is obligated to package the Delivery(/-ies) in conformity with the instructions and/or indications provided for it by Gezgin Outdoor.

5.2. If matters to be delivered by Contractor must be packaged, Contractor is obliged to take care of good and sound packaging that is in accordance with the safety requirements.

5.3. The matters and goods to be delivered by Contractor to Gezgin Outdoor must be provided by Contractor with a digital reference, so that the provenance thereof can be traced for origin and production.

VI. Intellectual property

6.1. If Contractor carries out a Delivery in the context of the Agreement that is subject to intellectual property rights, Contractor grants Gezgin Outdoor a free, non-exclusive, and transferable license that is valid for an indefinite time for the use of the Delivery in case. This license comprises in any event the right of disclosure and multiplication.

6.2. Contractor guarantees Gezgin Outdoor that upon the implementation of the Agreement patents, licenses, copyrights, and other rights of intellectual property of third parties are not violated.

6.3. Contractor safeguards Gezgin Outdoor against claims by third parties that flow from an infringement of intellectual property rights related to the Agreement and will compensate all damage that Gezgin Outdoor incurs as a result of that infringement.

VII. Confidentiality

7.1. Parties are mutually obliged to observe the confidentiality of the information received by them in the context of the (adoption of the) Agreement.

7.2. All drawings, designs, specifications, and other data that Gezgin Outdoor has provided to Contractor remain the property of Gezgin Outdoor.

7.3. Contractor is obligated to respect the total secrecy of all information he receives from Gezgin Outdoor in the context of the (adoption of the) Agreement. Contractor is obliged to oblige his employees and the third parties deployed by him for the implementation of the Agreement to observe the same secrecy.

7.4. It is prohibited to Contractor publicize the implementation of the Agreement or a Delivery, unless prior written approval was granted for this by Gezgin Outdoor, which approval may be subjected by Gezgin Outdoor to (financial) conditions.

7.5. Violation by Contractor of the confidentiality obligations mentioned in this article is qualified by parties as a serious attributable shortcoming and this grants Gezgin Outdoor the authority to rescind this agreement with immediate effect, without any right to compensation (of damages), nor to compliance, thereby arising for Contractor vis-a-vis Gezgin Outdoor.

7.6. The confidentiality obligations described in this article remain effective after termination of the Agreement as well.

VIII. Force majeure

8.1. Contractor can only appeal to force majeure vis-a-vis Gezgin Outdoor in the event of a shortcoming that cannot be attributed to the fault of Contractor, and neither pursuant to the law, a legal transaction, or commonly held opinion falls under his responsibility.

8.2. If Contractor appeals to force majeure, Contractor is obliged to forthwith inform Gezgin Outdoor in writing concerning, while providing a substantiation of such appeal.

8.3. If Contractor cannot, cannot timely, or cannot properly comply with his obligations from the Agreement as a result of force majeure, those obligations are entirely or partially suspended until the moment that Contractor is able to still comply vis-a-vis Gezgin Outdoor in the established manner.

8.4. Gezgin Outdoor has the right in case the situation of force majeure as intended in 8.3. has occurred for 14 consecutive days to rescind the agreement entirely or partially with immediate effect in writing, without any right to compensation (of damages), or any right to compliance, thereby arising for Contractor vis-a-vis Gezgin Outdoor.

IX. Prices | Payment | Invoicing

9.1. The price established between Gezgin Outdoor and Contractor is inclusive of all costs, duties, and taxes, and exclusive of sales tax, unless parties expressly establish otherwise in the Agreement.

9.2. If there were to be changes during the term of the Agreement to wage costs, prices of material, taxes, and any other charges whatsoever, then these are borne by Contractor, unless parties expressly establish otherwise in the Agreement.

9.3. The invoice(s) to be sent by Contractor in the context of the Agreement must be prepared in the name of Gezgin Outdoor s.r.o. – or one of its sister companies mentioned in article 1.1., such to be determined independently and entirely freely by Gezgin Outdoor or the relevant sister company – and must be compliant with the (legal) requirements to be set for such, including the VAT-number, the Chamber of Commerce number, the IBAN and BIC-number. In addition, the invoice must be provided with the purchase order number of Gezgin Outdoor – or one of its sister companies mentioned in article 1.1. – as intended above in article 3.5., as well as with any such additional information as may be mentioned in the Agreement.

9.4. The invoice(s) to be sent by Contractor must contain a specification of all products, matters, services, whatever they are called, that were delivered to Gezgin Outdoor in the context of the Agreement, including the associated item numbers.

9.5. Contractor must exclusively send the invoices in the context of the Agreement to info@gezginoutdoor.com. Only then will Gezgin Outdoor accept the invoice(s) for processing.

9.6. Contractor only has the right to send an invoice after the Delivery in the context of the Agreement has been carried out and/or completed. An invoice date on an invoice of Contractor can never fall before an established delivery date.

9.7. Gezgin Outdoor will pay the invoice(s) within the term established in writing with Contractor following the correct receipt of the right invoice(s) and if it has been established that the Delivery in the context of the Agreement occurred correctly and in conformity with the Agreement and Contractor has complied with all obligations.

9.8. Invoices that do not meet the requirements established in this article are not accepted for processing by Gezgin Outdoor. Gezgin Outdoor returns the invoice and does not settle it.

9.9. If Contractor does not, does not timely, or does not completely comply with one or more obligations from the Agreement, then Gezgin Outdoor has the right to suspend their obligations, also including their payment obligations.

9.10. Payment by Gezgin Outdoor under no circumstance means that Gezgin Outdoor waives their rights.

X. Sanctions clause

10.1. In case of the overrunning of a term established in the Agreement, Contractor forfeits a fine to Gezgin Outdoor. The amount of the fine is equal to the amount that Gezgin Outdoor would have owed to Contractor in case of the timely and correct implementation of the Agreement. Upon the overrunning of an established term, Gezgin Outdoor has the right to rescind the Agreement, without the intervention of the court of law, without owing anything to Contractor, and without being bound to comply.

10.2. Payment of the fine mentioned in article 10.1. does not relieve Contractor of his obligations on account of the Agreement.

10.3. Entitlement to the fine leaves unaffected the right of Gezgin Outdoor to compliance and to compensation of damages.

XI. Complaint

11.1. A Delivery is only deemed to have been accepted by Gezgin Outdoor if this Delivery has been approved by Gezgin Outdoor.

11.2. Gezgin Outdoor has the right and the authority during at least three months after Delivery or after discovery of an issue with regard to the Delivery to file complaint with Contractor. Parties establish that this term is a reasonable term.

XII. Suspension and retention

12.1. Contractor expressly waives his right to suspend his obligations from the Agreement if Gezgin Outdoor were to be in default.

12.2. Gezgin Outdoor has the right to suspend their (payment) obligations if Contractor falls short or threatens to fall short in complying with his undertakings on account of the Agreement.

12.3. Contractor expressly waives any possible appeal by Contractor to a lien.

XIII. Liability

13.1. Contractor is liable towards Gezgin Outdoor for all damage (also including direct and indirect damage, such as business damage and loss of profit) that Gezgin Outdoor incurs as a result of a shortcoming in complying with the obligations of Contractor on account of the Agreement, unless wilful intent or deliberate recklessness on the part of Gezgin Outdoor pertains. This liability applies fully if Contractor has deployed third parties for the implementation of the Agreement. Contractor is fully liable vis-a-vis Gezgin Outdoor for damage that Gezgin Outdoor incurs as a result of a shortcoming by these third parties that were deployed.

13.2. Contractor safeguards Gezgin Outdoor against all third-party claims that are related directly or indirectly, intermediately or immediately, to the implementation of the Agreement (also including a product and/or part that was delivered).

XIV. Rescission | cancellation

14.1. In the following situations, Contractor falls into default legally, without any default notice being required from Gezgin Outdoor, Gezgin Outdoor has the right to entirely or partially rescind or cancel the Agreement: a) Contractor does not, does not timely, or does not completely comply with one or more of his obligations on account of the Agreement; b) A bankruptcy application has been filed against Contractor, he has gone bankrupt, or has applied for suspension of payments and/or submitted a request for the legal restructuring of his debts; c) An attachment is levied on matters or claims of Contractor; d) The Contractor is dissolved or liquidated; e) Contractor transfers (parts of) his enterprise or the control thereover completely or partially to third parties.

14.2. If Gezgin Outdoor exercises their rights of rescission or cancellation as described in this article, this leaves unaffected the right of Gezgin Outdoor to obtain a compensation (of damages) and other legal rights.

14.3. Upon a rescission or cancellation, the claims of Gezgin Outdoor on Contractor become immediately exigible.

XV. Warranty

15.1. Without prejudice to his liability from the Agreement or the law, Contractor guarantees Gezgin Outdoor that the Delivery(/-ies) correspond(s) with the Agreement. This warranty comprises amongst other matters that: a) The matters are compliant with the information provided, quantity submitted, weight and other specifications of Gezgin Outdoor; b) The matters are suitable for the purpose of the Agreement; c) The matters are of good quality, without any defects, finished, and ready for use; d) The matters are compliant with the applicable legal requirements, standards, and arrangements in the sector; e) The matters clearly indicate who the manufacturer is or who the party is introducing the matters into commercial exchange.

15.2. A warranty term applies as stipulated in the Agreement.

15.3. If no warranty term is stipulated in the Agreement, a warranty term of the technical lifespan or usage duration of the matters delivered under the Agreement (whatever they are called) applies, counted from the moment of delivery at Gezgin Outdoor. It applies to at least six months.

15.4. If it turns out during the warranty period that delivered matters and/or a Delivery are/is not compliant with the guarantees provided by Contractor, Gezgin Outdoor will report such within a reasonable term after discovery of the defect to Contractor.

15.5. Contractor is obligated to replace or restore the relevant Delivery(/-ies) within two business days after the report by Gezgin Outdoor free of charges, or to supplement what was missing, unless Gezgin Outdoor chooses to terminate the Agreement.

XVI. Sanctions, Export Control and Trade Compliance

16.1. Contractor represents and warrants that it is not, and is not owned or controlled by, a person or entity that is the subject of applicable trade or economic sanctions administered by the European Union, the United Nations, the Czech Republic, the United States (OFAC), or other competent authority, and that the Delivery does not originate, directly or indirectly, from a sanctioned country, person, or entity, except as permitted under a valid licence or authorisation.

16.2. Contractor shall comply with all applicable export control and dual-use goods regulations, and shall inform Gezgin Outdoor without delay if any Delivery is, or becomes, subject to export licensing requirements.

16.3. Gezgin Outdoor may, without liability, suspend or terminate the Agreement, in whole or in part, with immediate effect, where Gezgin Outdoor reasonably believes that continued performance would violate applicable sanctions, export control, or trade compliance laws.

16.4. Contractor is responsible for compliance with all export licensing, customs, and trade documentation requirements applicable to the Delivery, unless otherwise expressly agreed in writing.

XVII. Anti-Corruption

17.1. Contractor shall comply with all applicable anti-bribery and anti-corruption laws and shall not offer, promise, give, request, or accept any bribe, kickback, facilitation payment, or other improper advantage in connection with the conclusion or performance of the Agreement.

17.2. Contractor shall ensure that its employees, agents, and any third parties deployed under Article 4.10 comply with the obligations set out in this Article.

17.3. A breach of this Article by Contractor is qualified as a serious attributable shortcoming within the meaning of Article VII.5, entitling Gezgin Outdoor to rescind the Agreement with immediate effect, without any right to compensation or compliance arising for Contractor.

XVIII. Miscellaneous provisions

18.1. Contractor informs Gezgin Outdoor upon own initiative instantly in the event of, or if Contractor is confronted with, deliberate or accidental impairment of products and/or the blackmailing with products and resulting damage that may happen or happens to Contractor or is incurred by him.

E-order Terms and Conditions

Document No.: DOC-EOT-003Revision: 1.0Effective Date: 1 January 2026

1. Scope and Relationship to the General Terms and Conditions

1.1 These e-order Terms and Conditions (hereinafter the “e-order Terms”) govern the use of the online ordering service (“e-order”) operated by GEZGİN OUTDOOR s.r.o. (the “Seller”) for its brands, whether as a shared multi-brand ordering portal or as a brand-specific online ordering service, by registered Buyers, as referred to in Article III of the Seller’s General Terms and Conditions (“GTC”).

1.2 The e-order Terms supplement and form an inseparable part of the GTC. In the event of any conflict between these e-order Terms and the GTC on matters specifically relating to the operation of the e-order service, these e-order Terms shall prevail; in all other respects, the GTC shall apply.

2. Access to the e-order Service

2.1 Access to the e-order service is available exclusively to Buyers who have completed the Buyer registration process described in Article II of the GTC and have been issued login credentials by the Seller.

2.2 The Buyer is responsible for maintaining the confidentiality of its login credentials (username and password) and for all activities that occur under its account. The Buyer shall notify the Seller without undue delay of any unauthorized use of its account.

2.3 The Seller may issue individual access credentials to specific employees or representatives of the Buyer, at the Buyer’s request. The Buyer remains fully responsible for orders placed by any person using such credentials.

2.4 In accordance with Article XX.4 of the GTC, the Seller reserves the right to deactivate a Buyer’s access to the e-order system if no order has been placed for four consecutive months. Renewed access may be requested through the Buyer’s sales representative.

3. Product Catalogue and Prices

3.1 The e-order system displays the Seller’s current product catalogue, including indicative availability and prices, both including and excluding VAT.

3.2 Product images, descriptions, and availability indicators displayed in the e-order system are for guidance only and do not constitute a binding offer within the meaning of § 1732 of the Czech Civil Code. Article VII.4 of the GTC applies accordingly.

3.3 Prices displayed in the e-order system may contain printing or system errors. In such cases, Article VIII.2 of the GTC (price stated on the delivery note prevails) shall apply.

4. Placing an Order through e-order

4.1 A Buyer places an order by selecting Goods and quantities in the e-order system and confirming the order through the corresponding function of the system (e.g., an “order” or “submit” button).

4.2 Before final confirmation, the e-order system shall present the Buyer with a summary of the selected Goods, quantities, indicative prices, and the proposed delivery date, allowing the Buyer to review and correct the order prior to submission.

4.3 Upon submission, the order becomes an irrevocable offer of the Buyer within the meaning of Article VII.3 of the GTC. A purchase contract is concluded only upon the Seller’s confirmation in accordance with Article VI.1 of the GTC, which confirmation may itself be generated automatically by the e-order system or issued by a sales representative.

4.4 The minimum order quantity, cut-off times for next-day delivery, and cancellation deadlines set out in Articles VII.3, VII.7, and VII.9 of the GTC apply equally to orders placed through the e-order system.

5. Order History and Documents

5.1 The e-order system allows a registered Buyer to view its order history, current account balance (if credit terms apply), and, where technically available, to download copies of delivery notes and tax documents relating to past orders.

5.2 Availability of historical documents through the e-order system is provided for convenience and does not replace the Seller’s statutory obligation to issue original tax documents.

6. Technical Availability

6.1 The Seller shall make reasonable efforts to ensure the availability of the e-order system but does not guarantee uninterrupted or error-free operation. Article XII of the GTC (Availability of Ordering Systems) applies.

6.2 In the event of a technical outage of the e-order system, the Buyer may place orders through any of the other ordering methods listed in Article VII.1 of the GTC (telephone, sales representative, e-mail/EDI).

7. Security and Acceptable Use

7.1 The Buyer shall not use the e-order system for any purpose other than the ordering of Goods for its own business needs, and shall not attempt to interfere with, disrupt, reverse-engineer, or gain unauthorized access to the e-order system or any related infrastructure.

7.2 The Seller reserves the right to suspend a Buyer’s access to the e-order system with immediate effect in the event of suspected misuse, security breach, or fraudulent activity, and to inform the Buyer thereof without undue delay.

8. Personal Data and Cookies

8.1 Personal data processed in connection with the e-order system is handled in accordance with Article XIX of the GTC and the Seller’s separate Information on the Processing of Personal Data, published on the Seller’s website.

8.2 Use of cookies and similar technologies on the e-order website is described in the Seller’s Cookie Policy, published on the Seller’s website.

9. Final Provisions

9.1 The Seller may amend these e-order Terms at any time; the amended version becomes effective upon publication on the Seller’s website. By using the e-order system after such publication, the Buyer accepts the amended version.

9.2 These e-order Terms are governed by the laws of the Czech Republic, and any dispute arising herefrom is subject to the jurisdiction provisions of Article XX.8 of the GTC.

9.3 Matters not expressly regulated in these e-order Terms shall be governed by the GTC.

Language. In the event of any discrepancy or difference in interpretation between this English version and the Czech-language version of these e-order Terms and Conditions, the Czech-language version shall be exclusively decisive and binding, without prejudice to any mandatory consumer-protection rights under applicable law.

Customer Card Terms and Conditions

Document No.: DOC-CCT-004Revision: 1.0Effective Date: 1 January 2026

1.1 These Terms and Conditions of the Gezgin Customer Card (hereinafter the “Card Terms”) govern the issuance, use, and termination of the Gezgin Outdoor Customer Card (hereinafter the “Customer Card”), referred to in Article IV of the General Terms and Conditions of GEZGİN OUTDOOR s.r.o. (hereinafter the “GTC”).

1.2 The Card Terms supplement and form an inseparable part of the GTC. Purchases made using the Customer Card in the Seller’s stores are governed by the GTC and, specifically with regard to the Customer Card itself, by these Card Terms.

1.3 The Customer Card, together with any related discount or loyalty instruments, remains at all times the property of the Seller, in accordance with Article XIV of the GTC.

2. Issuance and Registration of the Customer Card

2.1 The Customer Card is issued to a Buyer who has completed the Buyer Card registration referred to in Article II of the GTC, upon request made in person at the Seller’s store or through the Buyer’s sales representative.

2.2 The Customer Card is personal to the registered Buyer (business entity) and may be used by the Buyer’s authorized representatives or employees for purchases on behalf of the Buyer. The Buyer is fully responsible for all use of the Customer Card issued to it.

2.3 The Buyer shall promptly notify the Seller of the loss, theft, or misuse of the Customer Card. Until such notification is received and processed by the Seller, the Buyer bears responsibility for transactions carried out using the Customer Card.

3. Use of the Customer Card

3.1 The Customer Card entitles the Buyer to purchase Goods in the Seller’s stores under the pricing, promotional, and loyalty conditions applicable to Customer Card holders from time to time, as communicated in the stores or on the Seller’s website.

3.2 Discounts, bonus points, or other benefits linked to the Customer Card are granted at the Seller’s discretion and may be changed, limited, or withdrawn at any time in accordance with Article XIV.2 of the GTC.

3.3 The Customer Card is not a payment card and does not itself carry any monetary value; it serves solely to identify the Buyer for the purposes of applicable pricing, promotions, and purchase history records.

4. Validity and Termination

4.1 The Customer Card is valid for as long as the underlying Buyer registration under the GTC remains valid. Cancellation of the Buyer’s registration under Article XX.6 of the GTC automatically terminates the validity of any Customer Card issued to that Buyer.

4.2 The Seller may deactivate a Customer Card with immediate effect in the event of suspected misuse or fraud, and shall inform the Buyer thereof without undue delay.

4.3 The Buyer may request termination of its Customer Card at any time by written notice to the Seller.

5. Personal Data

5.1 Personal data of the Buyer’s representatives processed in connection with the issuance and use of the Customer Card (including purchase history linked to the card, where applicable) is processed in accordance with Article XIX of the GTC and the Seller’s Information on the Processing of Personal Data, published on the Seller’s website.

6. Final Provisions

6.1 The Seller may amend these Card Terms at any time; the amended version becomes effective upon publication on the website of the relevant Gezgin Outdoor brand offering the Customer Card.

6.2 These Card Terms are governed by the laws of the Czech Republic, and any dispute arising herefrom is subject to the jurisdiction provisions of Article XX.8 of the GTC.

6.3 Matters not expressly regulated in these Card Terms shall be governed by the GTC.

Language. In the event of any discrepancy or difference in interpretation between this English version and the Czech-language version of these Customer Card Terms and Conditions, the Czech-language version shall be exclusively decisive and binding, without prejudice to any mandatory consumer-protection rights under applicable law.
